We revised these Terms on 22 September 2026. If your contract with us began before this revision, some of the changes apply to you from a later date (see the Supplementary Provisions at the end).
These Terms set out the conditions for using the apps and the website provided by Wada Digital Lab (sole proprietor: Tomoyuki Wada; “we”, “us”, “our”). Please read them before you order.
These Terms apply when you order directly from this website (wadadigitallab.com). If you bought through the App Store (iPhone / iPad), Apple is the seller and Apple’s conditions apply.
In that case you cancel from “Settings → Apple ID → Subscriptions” on your iOS device, and refunds follow Apple’s rules
(we cannot refund an App Store purchase ourselves).
About this English text. This English version and the
Japanese version above are both official. The English text is not a courtesy translation.
If you find a place where the two versions do not say the same thing, please write to
wadadigitallab@gmail.com and we will correct it.
Article 1 (Application of these Terms)
These Terms apply to every aspect of the relationship between you and us regarding the use of our apps and website (the “Service”).
These Terms are “standard terms of transaction” under Article 548-2 of the Civil Code of Japan. When you agree to these Terms in the order process, you are treated as having agreed to each individual provision as well.
The pages for the Privacy Policy, the Refund and Cancellation Policy and the Notice under the Act on Specified Commercial Transactions that we publish on this website each carry a Japanese text and an English text (the English text on the page for the Notice under the Act on Specified Commercial Transactions is the Seller Information). The Japanese text and the English text of those pages both form part of these Terms.
If these Terms and any of those documents say different things, the provision that is more favourable to you applies.
Article 2 (Definitions)
“Product” means an app we provide through the Service (KoeType for Mac, KoeShot for Mac, ヨミガエル for Mac, and others).
“Licence” means the right to use a Product. We manage it with a licence key that we issue.
“Subscription product” means a Product that renews and is charged automatically at regular intervals (KoeType for Mac).
“One-time product” means a Product that you pay for once and may then use with no time limit (KoeShot for Mac, ヨミガエル for Mac).
“Billing period” means each billing cycle of a subscription (one month on the monthly plan, one year on the yearly plan).
A one-time product has no billing period.
Article 3 (How the contract is formed)
A contract to use the Service is formed when you complete the order steps on the order screen of this website (your order) and we accept it.
We accept your order when you complete the payment steps. We normally show the licence key on the order-complete screen, and we also try to send it to the email address you gave us. Sometimes the screen takes a while to show the key, but your contract is formed all the same. If the key does not reach you, please contact us at the address in Article 18 and we will send it promptly.
We may decline an order in any of the following cases. The contract is then not formed.
The order contains something untrue, mistaken or missing
You have broken these Terms in the past
The order comes from outside the sales regions set out in Article 4
There is another reason that makes it unreasonable for us to accept
Article 4 (Where we sell)
The sales regions differ by Product.
KoeType for Mac and ヨミガエル for Mac: individuals living in Japan, and companies and organisations located in Japan.
KoeShot for Mac: individuals living in Japan, and companies and organisations located in Japan, and also individuals living in — or companies and organisations located in — the United States, Canada, Australia, New Zealand, Singapore or Hong Kong.
We do not accept orders from outside the sales regions in the previous paragraph. We are not responsible for what happens if you use a Product outside those regions, including whether it complies with local law and how it is treated for tax.
We display the Service, and write to you, in Japanese. However, for customers who order KoeShot for Mac from a sales region outside Japan, we may display the Service and write in English.
If it turns out that an order came from outside the sales regions set out in paragraph 1, we will cancel the contract and refund the full amount you have paid.
Article 5 (What the licence covers)
We grant you a non-exclusive right to use the Product for your own purposes or for your organisation’s internal work. For a subscription product this lasts for the billing period; for a one-time product it has no time limit.
For every Product, one contract lets you use it on up to three Macs. You can release a Mac you are using and swap in another one.
Copyright and other intellectual property rights in the Products belong to us or to the rightful owner. These Terms do not transfer those rights to you.
You must not disclose, lend, transfer or share your licence key with anyone else.
If a subscription contract ends, or if a contract is terminated under Article 12, the right granted in paragraph 1 of this Article ends.
Article 6 (Fees and payment)
The fees are: KoeType for Mac — monthly plan JPY 980, yearly plan JPY 9,800;
KoeShot for Mac — JPY 3,980 (one-time product; you pay once);
ヨミガエル for Mac — JPY 4,980 (one-time product; you pay once).
These are the prices shown to customers in Japan and include Japanese consumption tax.
Prices for other Products are shown on each product page and on the order screen.
You pay by credit card or a similar method, through our payment provider Stripe (Stripe, Inc. / Stripe Payments Japan K.K.).
We pay the payment-processing fees; we do not add them to your bill. You pay your own internet connection costs.
If you choose to use an outside service (cloud speech recognition, cloud text tidying and the like) and register your own API key, the fees for that outside service arise between you and that company directly. See the Seller Information page for details.
KoeShot for Mac and ヨミガエル for Mac have no feature that uses an outside service, and no way for you to turn one on. The costs in the previous paragraph therefore do not arise for those Products.
Despite paragraph 1, the fee and the currency for an order for KoeShot for Mac from a sales region outside Japan are as shown on the product page and on the order screen. The amount you will be charged is shown before you pay.
If we charge you in Japanese yen, your bank or card issuer may convert the amount into your own currency and may add a conversion fee. That conversion is between you and them.
Article 7 (Free trial and automatic renewal)
A subscription product comes with a 14-day free trial. You are not charged during that period.
On the 15th day it turns into a paid contract automatically and we charge the first fee to the payment method you registered.
After that, unless you cancel, the contract renews automatically at the end of each billing period and the same amount is charged.
A one-time product has no free trial and no recurring charge.
The way you can try KoeShot for Mac and ヨミガエル for Mac for 14 days is in the app itself, before you buy;
it needs no order and no payment details. When those days are over, nothing is charged.
Once you have cancelled, no further automatic charge is made from the next renewal date onwards.
Even after you cancel, you can keep using the Product until the last day of the current billing period.
If you find the steps difficult, contact us at the address in Article 18 and we will guide you or do it for you. We will not try to talk you out of cancelling, and we will not make the steps hard to follow.
A one-time product has no recurring charge, so there is nothing to cancel. If you stop using it, just delete the app. Nothing further is charged.
Article 9 (Refunds)
Our Products are digital goods delivered by download. Because of that, once your order is complete we cannot normally accept a return or give a refund.
If you cancel a subscription product part-way through a billing period, we do not give a pro-rata refund (except where we end the Service under Article 13).
Despite the previous two paragraphs, we deal with each case individually where there is a serious defect on our side, an obvious billing error, or where the law requires a refund. The details are in the Refund and Cancellation Policy.
Changing plan. If you change the plan of a subscription product part-way through a billing period, we work out the unused part of the old plan on a daily basis and take it off the amount we bill you for the new plan. Anything left over is carried to your next bills. This is a credit against your bill, not cash returned to you. The words “we do not give a pro-rata refund” in paragraph 2 are about cancelling, and do not apply to a change of plan under this paragraph.
Nothing in this Article limits the rights the law of the country or region where you usually live, as a consumer, gives you. In particular, for customers living in Australia or New Zealand, the guarantees and remedies under the Australian Consumer Law or the Consumer Guarantees Act 1993 are not excluded or limited by this Article.The same applies where you are a company or another organisation and the law of the country or region where you are located treats you as a consumer.
Article 10 (Price changes)
We may change our fees, but only where there is a reasonable ground such as a change in economic conditions, a change in our costs, or a change or addition to what the Product does.
If we change a fee, we will publish the new fee and the date it starts to apply on this website at least 30 days before that date. We will also try to tell you by email at the address you registered. If we do not publish it, the change does not take effect.
A new fee applies from the first renewal date on or after the day it starts to apply. The old fee applies to any billing period before that day.
If you do not agree to the new fee, you can cancel before your renewal date. You can keep using the Product until the last day of the current billing period.
Article 11 (What you must not do)
When you use the Service, you must not:
break the law or act against public order and decency;
infringe our rights or anyone else’s rights, including intellectual property and privacy;
copy, alter, adapt, reverse engineer, decompile or disassemble a Product (except where the law expressly allows it);
try to get around or switch off the licence key or the device-activation mechanism;
disclose, lend, transfer or share your licence key with anyone else;
resell or sub-licence the Service, or let a third party use it for profit;
place an excessive load on our servers or network, or try to gain unauthorised access;
register information that is untrue;
do anything like the above that gets in the way of running the Service or of other customers using it.
Article 12 (Suspension and termination)
If you break these Terms, we may ask you to put it right within a reasonable period, and if you do not, we may suspend the Service or terminate the contract.
Despite the previous paragraph, if you do any of the things in Article 11, items 3 to 6, or anything against the law, we may suspend the Service or terminate the contract immediately, without asking first.
If we terminate a contract under this Article, we work out the part of what you have paid that covers the period from the day of termination onwards, on a daily basis, and refund it. This does not stop us claiming compensation if your conduct has caused us loss.
Article 13 (Changing, interrupting or ending the Service)
We may change what the Service does, or add features, to improve it. If a change is a major one that is to your disadvantage, we follow the procedure in Article 16.
We may interrupt the Service temporarily, without notice, for maintenance, because of a fault, or because of a natural disaster or another unavoidable reason.
We may stop providing the Service. If we do, we will publish notice on this website at least 90 days before the closing date. We will also try to tell you by email at the address you registered.
If the Service ends under the previous paragraph, then for a subscription product we work out the part of what you have paid that covers the period from the closing date onwards, on a daily basis, and refund it.
For a one-time product, even if we stop providing the Service (issuing and activating licence keys),
you can keep using the Product on any Mac you have already activated
(the Product does not need to reach our server in order to run).
After the closing date, however, you will not be able to activate a new Mac.
We deal with that case individually, taking into account how long it is since you bought and the other circumstances, rather than by the daily-basis refund in the previous paragraph.
Article 14 (Disclaimers and limit of our liability)
We do not warrant that a Product is fit for any particular purpose, that it will always run correctly in your environment, or that it will run without interruption or error. The system requirements are on each product page and on the Seller Information page. This paragraph does not limit the liability for non-conformity that the law imposes on us, as set out in paragraph 5.
Where we are liable to pay you damages, we are liable only for ordinary loss that you actually suffer, and the total is capped at the fees you have paid us for the Service in the 12 months before the loss arose (or JPY 10,000, if that total is less than JPY 10,000). However, if we act intentionally or with gross negligence, neither the limit on the kind of loss nor the cap applies.
Saving and looking after the text and other data you create, edit or send with a Product is your responsibility. We are not liable for the loss of or damage to that data beyond the limit in the previous paragraph.
If you decide to use an outside service (cloud speech recognition, cloud text tidying and the like), we are not responsible for what that service does, for its quality, or for its fees.
Where the law imposes liability on us for non-conformity in relation to the Service, that liability is dealt with as the law provides.
Nothing in this Article limits the rights the law of the country or region where you usually live, as a consumer, gives you. The same applies where you are a company or another organisation and the law of the country or region where you are located treats you as a consumer.
Article 15 (Personal information)
We handle your personal information in line with our Privacy Policy.
Article 16 (Changes to these Terms)
We may change these Terms without your individual agreement, under Article 548-4 of the Civil Code of Japan, where:
the change is in the general interest of customers; or
the change does not go against the purpose of the contract and is reasonable, taking into account the need for it, whether what it says is appropriate, whether these Terms provide for changes, and the other circumstances.
If we change these Terms, we will publish the new text and the date it takes effect on this website at least 15 days before that date. We will also try to tell you by email at the address you registered.
If we do not give notice by publishing it as described in the previous paragraph, the change does not take effect. This does not apply to correcting a mistake in the wording, changing a cross-reference, another change that does not substantially affect your rights or obligations, or a change made to follow a change in the law: those take effect when we publish the new text on this website.
If you do not agree to the changed Terms, you can cancel before the date they take effect.
Changes to fees are dealt with under Article 10.
Article 17 (Governing law and courts)
These Terms and the contract to use the Service are governed by the law of Japan. However, this does not take away from you any protection given by rules of the law of the country or region where you usually live, as a consumer, that cannot be excluded by agreement. The same applies where you are a company or another organisation: rules of the law of the country or region where you are located that give you protection as a consumer and cannot be excluded by agreement are not taken away either.
If a dispute arises between you and us about the Service, we will first try in good faith to settle it by discussion.
If discussion does not settle it, the Tokyo Summary Court or the Tokyo District Court is the agreed court of first instance. This does not stop you bringing a claim in a court that the law allows you to use, and if we bring a claim against you, we will bring it in the court for the place where you live.
Article 18 (Contact us)
Trader: Wada Digital Lab (sole proprietor: Tomoyuki Wada)
You can write to us at any time, and we normally reply within three business days. Business days are days other than Saturdays, Sundays, public holidays in Japan and the new-year holidays.
If your question is about KoeShot for Mac and you are in a sales region outside Japan, you can write to us in English and we will reply in English (Article 4, paragraph 3).
Supplementary Provisions (revision of 22 September 2026)
This revision applies from the time we posted it on this website on 22 September 2026.
If your contract with us began before we posted this revision, the revision of Article 1, paragraph 3 applies to you from 22 October 2026 (as we posted on 21 September 2026). Until then, Article 1, paragraph 3 reads as it did before the revision: “The Privacy Policy, the Refund and Cancellation Policy and the Seller Information page that we publish on this website (in each case, the English text on that page) form part of these Terms.”
If your contract with us began before we posted this revision, the revision of Article 16, paragraph 2 and the revision of section 8 of the Privacy Policy apply to you from 23 October 2026. Until then, “at least 15 days before” in those two places reads “at least 30 days before”.
